S R K Industries has informed that the Board of Directors of the Company at its meeting held on March 02, 2015, has considered and approved the following: 1. Appointment of MS. M. Gupta as Women Director as per Clause 49(VII) of the Listing Agreement. 2. Resignation of Mr. Harish R. Jain from the Board of the Company.

S R K Industries Ltd has informed BSE that the Board of Directors of the Company at its meeting held on March 02, 2015, inter alia, has considered and approved the following:1. Appointment of MS. M. Gupta as Women Director as per Clause 49(VII) of the Listing Agreement.2. Resignation of Mr. Harish R. Jain from the Board of the Company.3. Recommendation for the appointment of V R Renuka & Co., Chartered Accountants, Mumbai, as Statutory Auditor's to fill the casual vacancy caused due to the resignation of VASU & CO., Chartered Accountants, subject to approval of the members.4. Authority to the Board to make Loan, give Guaranty or provide Security etc upto Rs. 50 Crores under Section 186 of the Companies Act, 2013, subject to approval of the members.5. Authorizing the Board to borrow money, in excess of the limits specified under Section 180(1)(c), but not beyond Rs. 50 Crores, subject to approval of the members.6. Authorizing the Board under section 180(1)(a) of the Companies Act, 2013 to create charge on the assets of the Company, subject to approval of the members.7. The Board approved the draft Notice of the Postal Ballot.8. The cut-off date for ascertaining the entitlement of the members to receive notice of postal ballot is fixed as March 06, 2015.9. The Board has appointed CS Shreyans Jain, Company Secretaries in Practice as the scrutinizer for the Postal Ballot process.Source : BSE
